SWEEPSTAKES RULES AND REGULATIONS

NO PURCHASE IS NECESSARY. By entering this Sweepstakes (defined below), entrants agree to abide by these Sweepstakes rules and regulations (the “Official Rules”). The decisions of the Sponsor (as defined below) with respect to all aspects of the Sweepstakes are final. 

SPONSOR & SWEEPSTAKES PERIOD:

Crumb’s Winter Wonderland Sweepstakes (the “Sweepstakes”) is sponsored by Give and Go Prepared Foods Corp, 15 Marmac Dr #200, Etobicoke, ON M9W 1E7, Canada (the “Sponsor“) and administered by Relevance Collective, 214 King St W, Suit 504, Toronto, ON, M5H 3S6, Canada (the “Administrator“). The Sweepstakes commences at 12:00:00 AM Eastern Time (“ET”) on November 19, 2020 and will end at 11:59:59 PM ET on December 19, 2020 (the “Sweepstakes Period“) when all entries must be received.

All references in these Official Rules are Eastern Time, which shall control for all purposes of this Sweepstakes. Administrator’s computer is the official time-keeping device for the Sweepstakes.

ELIGIBILITY:

The Sweepstakes is open to legal residents of the fifty (50) United States (excluding, for clarity, Puerto Rico, the U.S. Virgin Islands and other U.S. territories and possessions) and the District of Columbia who are 18 years of age or older at the time of entry. Employees of Sponsor, its parent company, affiliates, subsidiaries, suppliers, advertising and promotion agencies and anyone else connected with the production and distribution of this Sweepstakes (including, without limitation, the Administrator, collectively, the “

Promotion Parties

”) and their immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and/or those living in the same household of each are not eligible to participate or win. Void where prohibited. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Sweepstakes including but not limited to the administration and operation of the Sweepstakes and the selection of the potential winners. Winning a Prize is contingent upon fulfilling all requirements set forth herein.

HOW TO ENTER THE SWEEPSTAKES:

There are two (2) methods of entry into the Sweepstakes and they are as follows: 

Online With Photo of Gingerbread House:

During the Sweepstakes Period, visit (the “Sweepstakes Website) and complete the entry form (the Entry Form”) with your full name, complete mailing address, daytime telephone number, and a valid email address, confirm that you have read and accept these Official Rules, and indicate if you would like to receive information regarding upcoming events and/or promotions from the Sponsor (optional). Next click on the “Upload” button to upload a photo (the “Photo”) of your completed “Create A Gingerbread House Kit” and upon doing so, click “Submit”. Your Photo will then be reviewed by the Sponsor (or its designated representative(s)) to determine if it meets the above requirements. If deemed eligible, you will receive one (1) entry (an “Entry”) into the Sweepstakes. Entries must be received on or before 11:59:59 PM ET on December 19, 2020 (the “Sweepstakes Closing Date”). There are no limits to the number of Photos submitted, however each Photo must be unique (see paragraph 5 of these Official Rules for Photo guidelines). You may only use one (1) email address to enter the Sweepstakes.

Each entrant who submits a Photo hereby irrevocably grants to Sponsor, its designees, affiliates, successors and assigns, the non-exclusive, irrevocable, fully paid, universal license to use, copy, sublicense, transmit, distribute, publicly perform, publish, delete or display the entry in any media now known or hereafter devised including, but not limited to all forms of electronic media, print media and all forms of internet and wireless protocol in perpetuity and throughout the universe for advertising, marketing, publicity and promotional purposes in connection with the Sweepstakes and other promotions.  Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter the Photo for any purpose which Sponsor deems necessary or desirable, and each entrant irrevocably waives any and all moral rights they may have therein.

Mail-In: NO PURCHASE NECESSARY.

To enter the Sweepstakes by mail without submitting a Photo, on a plain piece of paper, hand print your full name, complete mailing address (including postal code), daytime telephone number (including area code), valid email address and mail along with a minimum 50-word essay on “My favorite things about creating a Gingerbread House are” (the “Mail-In Entry”) and mail to: Crumb’s Winter Wonderland Sweepstakes, Attn: John Ceccio, 41 Natcon Drive, Shirley, NY, 11967. Mail-in Entries must be postmarked by December 19, 2020 and received by December 23, 2020. No copies, facsimiles or mechanical reproductions will be accepted. Sponsor assumes no responsibility for lost, late, incomplete, stolen, misdirected, illegible or postage due entries or mail.

Limit one (1) Mail-In Entry per outer mailing envelope.

ENTRIES:

Any person who is found to have entered in a fashion not sanctioned by these Official Rules will be disqualified. Entries must be received during the Sweepstakes Period in order to be entered into the Draw (see paragraph 7 of these Official Rules). Proof of transmission (screenshots or captures, etc.) does not constitute proof of delivery and proof of posting an entry is not proof of receipt by Sponsor. Entries generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified. The Sponsor will not be responsible for late, lost, illegible, falsified, damaged, misdirected, mutilated, garbled or incomplete entries, which will be void. All entries become the property of the Sponsor upon receipt and none will be returned. Any Entries that do not satisfy the requirements set out in paragraph 5 of these Official Rules will be removed and be ineligible for entry into the Sweepstakes. Without limitation to the foregoing, in the event an Entrant submits inappropriate content, in the sole discretion of the Sponsor, he or she will be disqualified.

PHOTO GUIDELINES:

Each submitted Photo:

  1. must be a picture of a prepared “Create A Gingerbread House Kit” that you created;
  2. may include the Entrant with his/her prepared Gingerbread House;
  3. must be intended for family audience viewing and contain only content that, in the sole and unfettered discretion of the Sponsor, is suitable for all persons, including persons under the age of 13;
  4. must not contain any nude, sexually explicit, disparaging, discriminatory, libelous or other inappropriate content of any kind whatsoever;
  5. must not contain any content that promotes any product or service other than that of the Sponsor;
  6. must not contain any language suggesting or encouraging illegal activity;
  7. must not contain anything that infringes or that may infringe anyone’s rights, including intellectual property rights;
  8. must not contain any personal information;
  9. must not contain any copyrighted works (other than as owned by the eligible Entrant or related to Sponsor) or third-party content that may be subject to and protected by intellectual property laws, including but not limited to artwork and photographs;
  10. must contain entirely original materials that have never before been published or selected as a winner in any other Sweepstakes;
  11. must not contain any identifiable third-party products and/or trade-marks, brands, logos or copyright, other than those of the Sponsor; and
  12. must not contain any reference to or likeness of identifiable third parties who have not provided permission to appear in the Photo for purposes of this Sweepstakes.

PRIZES:

There are three (3) prizes (each a “Prize” and collectively as “Prizes”) available to be won and are as follows:

  1. Grand Prize:There is one (1) Grand Prize available to be won consisting of one (1) Nintendo Switch; one (1) Mario Kart Live and one (1) Ultimate Create-A-Treat Prize Pack Building Kit. The approximate retail value (“ARV”) of the Grand Prize is $1,200.00 USD.
  2. Second Prize:There is one (1) Second Prize available to be won consisting of one (1) Nintendo Switch and one (1) Ultimate Create-A-Treat Prize Pack Building Kit. The ARV of the Second Prize is $850.00 USD.
  3. Third Prize:There is one (1) Third Prize available to be won consisting of one (1) Lego Building Set and one (1) Ultimate Create-A-Treat Prize Pack Building Kit. The ARV of the Third Prize is $750.00 USD.

Prizes must be accepted as awarded and may not be sold or transferred and is not convertible to cash. The Sponsor reserves the right, in its sole discretion, to substitute a Prize in whole or in part with another prize or prize component of equal or greater value in the event that all or any component of a Prize is unavailable, or for any other reason. Only three (3) Prizes will be awarded. Limit of one (1) prize per person during the Sweepstakes Period.

PRIZE DRAWS: A random draw (the “Draw”) will take place by the Administrator in Oakville, ON at 10:00:00 AM ET on December 30, 2020 or such other time and date promptly thereafter selected by Sponsor (the “Draw Date”) from among all eligible entries received to determine the Prize selected entrants (each a “Selected Entrant”). Odds of winning depend on the total number of entries received during the Sweepstakes Period. The Selected Entrants will be notified by email at the Sponsor’s discretion using the contact information provided at time of entry. The Selected Entrants will be contacted within two (2) business days of the Draw Date.

WINNER NOTIFICATION: To be declared a Prize winner, the Selected Entrants will be required to complete a notarized Affidavit of Eligibility/Liability Release and, as permitted by law, a Publicity Release (collectively, the “Prize Claim Documents”), to be returned within five (5) business days along with any other documentation that the Sponsor may require or the Prize may be forfeited. The Sponsor shall have no liability if the notification is lost, intercepted or not received by the Selected Entrant for any reason including but not limited to if the notification is returned as unclaimed or undeliverable. If a Selected Entrant (a) does not reply as directed with his/her contact information within two (2) business days; or (b) cannot be reached within three (3) business days of the first notification; or (c) fails to return the properly executed Prize Claim Documents within the specified time, then he/she will be disqualified and another Selected Entrant will be randomly selected. Sponsor, in its sole discretion, will contact potential winners of the Prize in accordance with the above procedure until the prize is awarded. If a Selected Entrant is found to be ineligible for, or if he or she has not complied with these Official Rules or declines the Prize for any reason prior to award, the Selected Entrant will be disqualified and an alternate potential winner will be randomly selected. Upon receipt of the completed Prize Claim Documents, Prizes will be coordinated with the winners by the Sponsor.

GENERAL LIABILITY RELEASE/FORCE MAJEURE:

Entrants agree that the Promotion Parties (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related activity or from Entrants’ acceptance, receipt, possession and/or use or misuse of any Prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any Prize, including, without limitation, to such Prize’s quality or fitness for a particular purpose.

The Promotion Parties assume no responsibility for any damage to an entrant’s or any other person’s computer system or wireless phone which is occasioned by participating in the Sweepstakes, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature.

Without limiting the generality of the foregoing, the Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen entries, email or mail or Prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.

The Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and the Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted.

The Sponsor reserves the right to cancel, modify, suspend, or terminate the Sweepstakes if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Sweepstakes. In the event the Sponsor is prevented from awarding the Prize or continuing with the Sweepstakes as contemplated herein by any event beyond their control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal, state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within the Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes. If the Sweepstakes is terminated or suspended before the end of the Sweepstakes Period, notice thereof will be posted on the Sweepstakes Website and the Sponsor will (if possible) select winner(s) in a random drawing or drawings from all eligible, non-suspect entries legitimately received as of the date of the event giving rise to the termination.

Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The

Sponsor reserves the right to correct clerical or typographical errors in promotional materials or these Official Rules.

  1. By entering and/or accepting the Prize, the winner consents to the use of his/her name, address (city and state) and/or photograph without further compensation, in connection with any publicity carried out by or on behalf of the Sponsor with respect to this Sweepstakes, except to the extent prohibited by law.
  2. By entering and/or accepting the Prize, entrants agree that the Sweepstakes shall be construed in accordance with the governing laws and jurisdiction of the State of New York, excluding its conflict of law rules.
  3. This Sweepstakes is subject to all applicable federal, state, and local laws.
  4. For the winner’s list, send a self-addressed, stamped envelope by December 31, 2020 to: Crumb’s Winter Wonderland Sweepstakes – Winners List Request, Attn: John Ceccio, 41 Natcon Drive, Shirley, NY, 11967 .

The winner’s list to be available after January 22, 2021.

The Sponsor respects your right to privacy. Personal information collected from entrants will only be used by the Sponsor to administer the Sweepstakes and, only if consent is given at the time of entry, to provide the entrants with information regarding upcoming promotions and/or events from the Sponsor and its affiliates.  By entering the Sweepstakes, all entrants consent to the manner of collection, use and disclosure of personal information as set out in the Sponsor’s privacy policy, which is available at Sponsor.
